Varumärken kan vara föremål för kontraktuella dispositioner av olika slag. I avhandlingen studeras varumärkesrätten i ett kontraktsrättsligt sammanhang. Undersökningsföremålet befinner sig således i skärningspunkten mellan varumärkes- och kontraktsrätten. Studien lyfter fram vissa centrala egenskaper i varumärkesrättens skyddsföremål och illustrerar hur dessa kan påverka kontraktsrättsliga bedömningar. Det är följaktligen en undersökning av vilken betydelse varumärkesrättens innehåll har för parternas förpliktelser, till exempel vid konstruktionen av utfyllande kontraktsrättsliga normer. I studien behandlas tre typer av kontrakt där varumärken förekommer. Kontraktstyperna är överlåtelse-, licens- och samexistensavtal. Särskilt diskuteras frågor om kontraktsbrott och omständigheter i samband med avtalens upphörande.

Abstract [en]

The dissertation examines the function of trade marks as objects of contractual arrangements. Hence, the subject lies at the intersection of trade mark law and contract law. The overall aim of the thesis is to study which impact a trade mark as such – with its characteristics and meaning – has for the obligations arising out of a contractual relationship. In other words, what arguments relating to the objective of trade mark protection are relevant in the analysis of a contractual problem, when construing the content of an agreement and thus filling gaps left by the parties? In order to thoroughly analyse this topic, the dissertation focuses on three types of contracts, namely contracts for the sale of trade marks, licences and co-existence agreements. These contracts are discussed from different perspectives, especially in relation to breach of contract and termination. For example, the seller’s or licensor’s contractual liability for lack of conformity of the trade mark is studied. It is also discussed to what extent a licensee’s breach of contract can result in proprietary liability for trade mark infringement, in addition to contractual liability. Furthermore, the requirements for terminating a trade mark agreement and the consequences thereof are addressed. The dissertation is concluded with a presentation of certain trade mark-specific qualities, which are highlighted to illustrate how a trade mark may affect contractual obligations.
