    In the recent Digital Single Market Strategy for Europe, COM(2015) 192 final, the Commission disclosed that by the end of 2015 it would make a legislative proposal on simple and effective cross-border rules for consumers and businesses, including harmonized EU rules for online purchases of digital content.

    The DSM Strategy does not elaborate on how these rules will regulate the sale or licensing of copyright-protected digital content. However, an idea of what is about to come can be found in the Commission's proposal for a Regulation on a Common European Sales Law, COM(2011) 635 final (the CESL), since the DSM Strategy explicitly refers to the CESL proposal.

    This article discusses the implications of the CESL in relation to distribution of digital content. Given that the CESL primarily is designed for sale of goods, it is arguable whether it is appropriate to apply such general principles of contract law to online transactions of digital content, ie copyright-protected works.

    Abstract [en]

    The article explores and discusses how issues related to diverging interests between franchisors and franchisees can be dealt with from a legal perspective. The study in particular focuses on how the reputation and image of the franchise network can be protected against free riding and other detrimental activities by franchisees and franchisors. More specifically, the article discusses and analyses how the parties’ respective interests can be safeguarded, in particular through trademark protection, but also through agreements and contract law. The main objective is to analyse to what extent trademark law – and to a certain extent agreements and contract law – can function as instruments to exert the necessary control in order to maintain the reputation of the franchise concept.

    Abstract [sv]

    De varumärkesrättsliga bestämmelserna som reglerar vilken rätt som finns att använda och referera till annans varumärke är inte helt tydliga. I denna bok diskuteras och analyseras gränserna för tillåten och otillåten varumärkesanvändning i kommersiella sammanhang. Boken ger genom sin behandling av varumärkesrättens innehåll och gränser förslag på sätt att argumentera i intrångstvister. 

    Frågorna som behandlas är: 

    · varumärkesrättens intrångsförutsättningar vid fall av dubbel identitet och tillämpning av det utökade skyddet för kända varumärken

    · varumärkesanvändning vid marknadsföring av varor som är kompatibla med varumärkesinnehavarens varor

    · varumärkesanvändning i jämförande reklam.

    Abstract [en]

    The dissertation examines the function of trade marks as objects of contractual arrangements. Hence, the subject lies at the intersection of trade mark law and contract law. The overall aim of the thesis is to study which impact a trade mark as such – with its characteristics and meaning – has for the obligations arising out of a contractual relationship. In other words, what arguments relating to the objective of trade mark protection are relevant in the analysis of a contractual problem, when construing the content of an agreement and thus filling gaps left by the parties? In order to thoroughly analyse this topic, the dissertation focuses on three types of contracts, namely contracts for the sale of trade marks, licences and co-existence agreements. These contracts are discussed from different perspectives, especially in relation to breach of contract and termination. For example, the seller’s or licensor’s contractual liability for lack of conformity of the trade mark is studied. It is also discussed to what extent a licensee’s breach of contract can result in proprietary liability for trade mark infringement, in addition to contractual liability. Furthermore, the requirements for terminating a trade mark agreement and the consequences thereof are addressed. The dissertation is concluded with a presentation of certain trade mark-specific qualities, which are highlighted to illustrate how a trade mark may affect contractual obligations.
