Abstract [sv]

Det brukar sägas att juridiska personer varken kan begå brott eller straffas enligt svensk rätt. Förklaringen brukar sökas i den straffrättsliga skuldprincipen och tanken att endast människor kan bära skuld eller tillräknas ansvar. I många länder finns dock en rättsfigur som kallas straffansvar för juridiska personer, och det diskuteras ofta om Sverige också borde eller måste införa ett sådant ansvar. Samtidigt finns sedan 1980-talet den straffrättsliga sanktionen företagsbot, som kan dömas ut mot företag om brott har begåtts inom ramen för företagets verksamhet.

I bidraget undersöks vad skillnaden egentligen skulle vara mellan företagsboten och ett straffansvar för juridiska personer. Det hävdas att skillnaden är terminologisk snarare än materiell. Enligt tongivande teori är en förutsättning för att tala om straff och straffansvar att en förutsättning för ansvar är att det sker en prövning av skuld. Företagsboten förutsätter att brott antingen har begåtts av ledande företrädare (identifikation) eller att företaget inte har gjort vad som skäligen kunnat krävas för att förebygga brottet (företagsoaktsamhet). I den mån det alls går att tala om ett straffansvar för juridiska personer, måste dessa förutsättningar innebära att företagsboten bör betecknas som ett straff i materiell mening. Att företagsboten är ett straff i Europakonventionens mening står klart. Det är alltså endast enligt brottsbalkens straffbegrepp som företagsboten inte är ett straffansvar.

I artikeln görs också ett försök att strukturera förutsättningarna för företagsboten enligt traditionell straffrättslig begreppsbildning. Det går då att hävda att företagsboten är ett accessoriskt ansvar för företaget för brott som begåtts av fysiska personer. En sådan ordning finns dock även i många jurisdiktioner som formellt betecknar ansvaret för företag som ett straffansvar, exempelvis Finland. En slutsats är att tillämpningen och eventuella förändringar av företagsboten skulle ha en hel del att vinna på att förstås som ett straffansvar. Samtidigt finns naturligtvis många utmaningar med att förstå vad det alls innebär att klandra ett företag.

Abstract [en]

It is often said that legal persons can neither commit crimes nor be punished under Swedish law. The explanation for this is usually sought in the principle of criminal liability and the notion that only human beings can be bear guilt or be attributed responsibility. In many countries, however, there is a legal concept known as corporate criminal liability, and there is frequent debate about whether Sweden should or must also introduce such liability. However, since the 1980s, Swedish criminal law inclusdes the sanction of corporate fines, which can be imposed on companies if offences have been committed within the scope of the company’s activities.

This paper examines what the actual difference would be between corporate fines and criminal liability for legal persons. It is argued that the difference is terminological rather than substantive. According to prevailing theory, a prerequisite for speaking of punishment and criminal liability is that criminal liability and punishment presupposes an assessment of guilt. Corporate fines presuppose that an offence has either been committed by a senior representative (identification) or that the company has failed to do what could reasonably have been required to prevent the offence (corporate negligence). To the extent that it is at all possible to speak of criminal liability for legal persons, these conditions must mean that the corporate fine should be regarded as a form of punishment in a substantive sense. It is clear that the corporate fine is a form of punishment within the meaning of the European Convention. It is therefore only according to the Swedish Penal Code’s concept of penalty that the corporate fine does not constitute criminal liability.

The article also attempts to structure the conditions for corporate fines in accordance with traditional criminal law terminology. It can then be argued that corporate fines constitute an accessory liability for the company for offences committed by natural persons. However, such a system also exists in many jurisdictions that formally classify corporate liability as criminal liability, for example Finland. One conclusion is that the application and any changes to corporate fines would benefit considerably from being understood as criminal liability. At the same time, there are of course many challenges in understanding what it actually means to hold a company criminally liable.
